Terms of Service
Effective date: 1 September 2026 Version: 3.3
These Terms of Service ("Terms") form a binding agreement between Mango Dog Pty Ltd, ABN 33 628 425 481 and ACN 628 425 481, an Australian company ("Mango Dog", "we", "us", "our"), and the customer that opens an account on https://mangoreceptionist.com ("Customer", "you", "your") to use the Mango Receptionist service ("Service").
By creating an account, clicking "I agree", paying for a subscription, forwarding a phone number to the Service, or otherwise using the Service, you agree to be bound by these Terms, the Privacy Policy, the Acceptable Use Policy, and, where applicable, the Data Processing Addendum.
If you are entering into these Terms on behalf of a business, partnership, company, or other entity, you confirm that you have authority to bind that entity, and "Customer" refers to that entity.
1. Definitions
- Aimee — the AI virtual receptionist component of the Service.
- Caller — a person whose call, SMS, or chat is handled by the Service on the Customer's behalf.
- Customer Data — all data and content provided by the Customer or generated through the Customer's use of the Service, including scripts, knowledge-base documents, services and pricing entries, transcript text, summaries, SMS records, and Aimee Instructions.
- Documentation — the materials published at https://mangoreceptionist.com describing how to use the Service.
- Order — the act of signing up, choosing a plan, and completing payment (where applicable).
- Subscription — a paid plan with the Service.
- Free Front Desk — the permanent no-subscription tier described in §4.1.
- Aimee Pro — the owner-facing money and paperwork plan described in §5.1.
- Mango Max — the customer-facing receptionist plan described in §5.1.
- Mango Team — the multi-user and crew-coordination plan described in §5.1.
- Phone Activation — the separate USD 5 activation step that provisions a tenant-specific forwarding number and starts the 60-day live-phone trial described in §4.2.
- ACL — the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)).
- DPA — the Data Processing Addendum.
- Sub-processor — a third party engaged by Mango Dog to process personal data on the Customer's behalf, as listed in the DPA.
2. The Service
2.1 What it does
Mango Receptionist provides Aimee, an AI virtual receptionist. Aimee can:
- answer inbound calls forwarded from the Customer's existing phone number
- capture caller details and maintain tenant-scoped customer and work records
- send summaries and permitted service messages through channels available in the Customer's market
- escalate urgent matters through a configured channel
- answer questions using the Customer's knowledge base
- capture booking requests for the Customer to confirm or, when the Customer enables confirmed booking, offer and reserve availability in Mango's internal schedule
- maintain multiple named appointment or capacity calendars, apply Customer-configured conflict and capacity rules, and optionally import selected iCalendar feeds as busy-time inputs
- prepare Customer-reviewed quotes and invoices, support payment and deposit workflows where configured, and itemise emailed or uploaded receipts and bank or credit-card statements for review
- maintain owner-confirmed personal memory and business context for the private Console Aimee, with correction, export, and deletion controls
- produce a grounded weekly descriptive reflection when enough recorded data clears the configured evidence threshold
- run a live chat widget on the Customer's website
- run a private Console Aimee and, where separately offered and enabled, Customer-configured specialist desks for the Customer's tenant
- create a direct review link and downloadable review QR kit for the Customer
Capabilities depend on the Customer's selected plan, market, configuration, permissions, and connected providers.
2.2 What it does not do
Aimee is a software-assisted communications tool. It is not a substitute for professional, emergency, legal, financial, medical, or safety services. In particular:
- Aimee is not an emergency service. Callers in immediate danger should be told to call 000 (Australia) or the relevant local emergency number.
- Aimee does not record audio by default. Operational metadata, transcript text, summaries, and SMS state are stored — see the Privacy Policy.
- Aimee is not infallible. Like any AI, it can misunderstand, hallucinate, or follow outdated knowledge-base entries. The Customer is responsible for reviewing Aimee's configuration, script, and knowledge base.
- Aimee cannot make outbound calls; it answers inbound calls only.
- Aimee does not autonomously change the Customer's prices, promises, capacity, or other consequential business policy. Current weekly reflection is descriptive; proposals and configuration changes retain their stated review and confirmation gates.
- Live phone answering requires Phone Activation. After activation, the Service assigns a tenant-specific forwarding number. The Customer must not advertise that forwarding number, publish it, or instruct callers to dial it directly.
2.3 Service availability
We aim for high availability but do not guarantee uninterrupted operation. The Service may be affected by:
- telecommunications carriers (including Twilio)
- cloud service providers
- AI, speech, and text-processing providers used to operate the service
- payment processors (Stripe)
- identity/sign-in providers (Google, Microsoft)
- maintenance windows, security responses, and events outside our reasonable control.
We may make reasonable changes to the Service, including adding, modifying, or removing features, to improve the Service, maintain security, comply with law, manage third-party provider changes, or keep the Service commercially viable. If a change materially reduces a core paid feature during a paid billing period, we will give reasonable notice where practicable. If the change is materially adverse and not required for security, legal compliance, or a third-party provider change outside our reasonable control, you may cancel and receive a pro-rata refund of unused prepaid fees for the affected period.
3. Account, eligibility, and authority
3.1 Account creation
You may create an account by signing up with Google, Microsoft, or email and password. You agree to provide accurate, current, and complete information and to keep it up to date.
3.2 Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract in your jurisdiction.
3.3 Authorised users
You are responsible for the access credentials of your account and for all activity that occurs under it. You must keep credentials confidential and notify us promptly of any suspected unauthorised access at security@mangoreceptionist.com.
3.4 Australia is the primary jurisdiction
The Service is designed first for Australian businesses using Australian forwarded telephone numbers. We offer the Service internationally where supported. Phone-number provisioning, forwarding instructions, and regulatory requirements vary by country and carrier.
3.5 EU/EEA and UK availability
We do not make a live phone or other production Service configuration available to a Customer established in the EU, EEA or UK where doing so would require Mango Dog to appoint a GDPR or UK GDPR representative, until that representative has been appointed and published in the applicable privacy notice. Evaluation materials do not override this availability condition. This restriction protects Customers and their callers from unsupported regulatory and carrier arrangements; it is not based on a protected characteristic.
4. Free Front Desk and Phone Activation
4.1 Free Front Desk
Customers may create a permanent Free Front Desk account without a credit card or time-limited trial. Subject to availability and the Customer's configuration, Free Front Desk includes an owner-approved public business or callout page, customer and job-detail intake, customer-uploaded job photos, customer records, a direct review link and downloadable review QR assets, and search-engine and AI-agent-readable public page foundations. The review QR capability remains available on Free Front Desk, trial and paid accounts.
Mango may use approved public business information to prepare the page after the Customer confirms the matched business and verifies possession of the business phone number. Imported public information, generated copy, a starter website, and any generated logo remain drafts until the Customer approves them. Free Front Desk does not include live Aimee phone answering unless the Customer completes Phone Activation.
4.2 Phone Activation
The standard live-phone trial requires a payment method and a USD 5 activation charge. Phone Activation provisions a tenant-specific forwarding number and starts a 60-day live-phone trial. Unless cancelled before the trial ends, it automatically continues as Mango Max at USD 200 every 30 days for up to 50 confirmed bookings, plus applicable taxes. The checkout must disclose the continuation price and timing before payment. A Customer may cancel before the first paid renewal.
4.3 Trial reminders
We may send reminder emails before the live phone trial ends with instructions to manage billing or cancel before the first monthly charge.
4.4 What happens after the live phone trial
If you cancel before the live-phone trial ends, or if the first Mango Max payment fails after the trial, live phone answering may be suspended. We may keep the assigned phone number reserved for a grace period before releasing it back to the carrier or telephony provider.
5. Subscription and billing
5.1 Plans and prices
Aimee Pro is USD 20 per month. It is the owner-facing money and paperwork plan. It includes own-customer quoting and invoicing, receipts and expenses, finance review, export and private voice assistance. It does not include live phone answering or Aimee conversing with the Customer's customers.
Mango Max starts at USD 200 every 30 days for up to 50 confirmed bookings. It includes the Aimee Pro capabilities and adds customer-facing phone, web, quote follow-up, invoice follow-up and review-request conversations. Higher configured Mango Max capacity is priced as shown in the current checkout and Documentation.
Mango Team starts at USD 499 every 30 days. It includes coordination across additional Business users, crew and independent businesses without per-user charges inside that plan. Higher configured Team capacity is priced as shown in the current checkout and Documentation. Free, Aimee Pro and Mango Max are one-owner plans. Optional add-ons are separately priced only when they are offered in the current checkout. Standard Phone Activation records the payment method and subscription relationship that automatically continues as Mango Max after the 60-day trial unless cancelled before the first paid renewal.
5.2 Taxes
(a) Prices. Unless expressly stated otherwise at the point of purchase, prices are exclusive of GST, HST, QST, PST, VAT, sales tax, and other similar indirect taxes. Where we are required by law to display a tax-inclusive price to you, we will do so, and the price displayed at checkout governs.
(b) Where we collect tax. Where we are registered, or required to register, for an indirect tax in your country, state, or province, we will add that tax to your invoice at the applicable rate and remit it to the relevant authority. The rate applied is determined by your place of residence or business establishment as evidenced by the information you give us and other indicators available to us.
(c) Business registration numbers. If you are registered for GST, HST, QST, VAT, or an equivalent tax, you may supply your registration number to us. Where the law permits or requires it, a valid registration number will mean that we do not charge that tax on your subscription and that you account for it yourself. You warrant that any number you supply is valid, is your own, and relates to the entity purchasing the Service, and you must tell us promptly if it ceases to be valid. You indemnify us for any tax, interest, or penalty we incur because a number you supplied was invalid or misused.
(d) Where we do not collect tax. Where we are not required to collect a tax in your jurisdiction, you remain responsible for any self-assessment, reverse charge, use tax, withholding, or import tax that applies to your purchase.
(e) Withholding. All amounts payable to us are payable in full without deduction. If you are required by law to withhold or deduct any amount, you must gross up the payment so that we receive the amount we would have received had no withholding applied.
(f) Cross-border charges. Your bank or card issuer may apply a currency conversion charge or a cross-border transaction fee. Those charges are set by your provider, are not received by us, and are in addition to the price shown. See also §5.7.
5.3 Payment method
Payment is by credit card or other method accepted by Stripe. By providing a payment method you authorise us to charge the recurring subscription fee and any taxes to that method.
5.4 Renewal
Subscriptions renew automatically every 30 days until cancelled. Capacity changes require Customer approval; Mango does not automatically move a Customer to a higher capacity band. You can cancel at any time from your account; cancellation takes effect at the end of the current paid period. We do not pro-rate refunds for partial periods except where required by law.
5.5 Failed payments
If a payment fails, Stripe will retry. We may notify you and place your account in a degraded state until payment succeeds. We may suspend or terminate the Service if payment remains unpaid for 14 days after the original due date.
5.6 Price changes
We may change the price of the Service on at least 30 days' notice by email and in-product banner. Price changes apply from the next renewal date after the notice period, not part-way through a paid billing period. If you do not accept a price change, you may cancel before it takes effect and your cancellation will take effect at the end of your then-current paid period.
5.7 Currency
All amounts are in United States Dollars (USD) unless otherwise stated. Currency conversion is performed by your card issuer at their published rate.
5.8 Receipts and invoices
Stripe sends a receipt for every successful payment. Tax invoices for Australian-registered Customers are available on request.
6. The 60-day booking-recovery guarantee
We offer a 60-day booking-recovery guarantee to eligible Customers using a paid Aimee phone-answering plan:
- The promise. If Aimee does not recover at least one genuine confirmed booking during the 60-day guarantee window, we will refund the eligible Mango Receptionist platform service fees you paid for that window.
- When the window starts. The window does not start merely because you created an account or paid. It starts when Mango has verified that a paid Aimee phone entitlement is active, your missed, busy or unanswered calls are live-forwarding to your dedicated Aimee number, and confirmed-calendar mode is operational. We record that start time in the Service.
- What counts. A recovered booking is a genuine inbound customer call that Aimee answered for your business and converted into a confirmed calendar booking through a successful scheduler write. A captured message, callback request, unconfirmed enquiry, test call, spam, duplicate, owner-created booking, fraudulent booking, no-show, or booking cancelled before the work was due does not count.
- Eligibility. The Customer must have:
- completed onboarding, including accurate business information, services, capture fields, availability, and Aimee Instructions;
- kept paid entitlement, verified call forwarding, and confirmed-calendar mode operational for the full window, except for outages attributable to Mango;
- given Aimee accurate availability and authority to offer and confirm appropriate appointments; and
- used the Service in good faith with eligible real inbound customer calls.
- How to claim. The account owner or another user with billing authority must submit the claim through the Service within 30 days after the guarantee window ends. If the in-product claim control is unavailable, email cs@mangoreceptionist.com within the same period using or identifying the account email. We assess verified forwarding, call, calendar, and payment evidence in good faith and aim to respond within 14 days.
- Refund scope. The commercial refund covers eligible Mango Receptionist platform service fees paid for the guarantee window. It does not include taxes we must remit, carrier or third-party charges, specialist-agent fees, payment-processing charges that are not returned to us, or charges outside the window. We do not deduct the USD 5 standard-trial activation fee from the promised platform-fee refund.
- Limitation. This guarantee is a commercial promise from Mango Dog, not a statutory guarantee. It does not exclude or limit any non-excludable consumer guarantee under the ACL (see §13) or other applicable law.
7. Customer data and content
7.1 Ownership
The Customer owns all Customer Data. By using the Service, you grant Mango Dog a worldwide, non-exclusive, royalty-free licence to host, copy, transmit, display, and process Customer Data for the limited purpose of providing the Service and as described in the Privacy Policy and DPA.
7.2 Knowledge base
The Customer is responsible for:
- the accuracy, lawfulness, and quality of any document, listing, price, or other content uploaded to or emailed into the knowledge base;
- ensuring it has the right to share that content with Aimee and have Aimee use it to answer callers;
- removing or correcting content that becomes outdated.
We process knowledge-base content into an isolated per-tenant index. We do not pool knowledge bases across Customers.
7.3 AI output disclaimer
Aimee's responses are generated by an AI model. Responses may be inaccurate, incomplete, or out of date. The Customer is responsible for reviewing Aimee's behaviour and correcting errors through the console or by emailing info@mangoreceptionist.com. We are not liable for losses caused by an AI-generated response that the Customer could reasonably have prevented through the configuration tools we provide.
7.4 Caller data
For callers interacting with Aimee on the Customer's behalf, the Customer is the controller of the caller's personal data and Mango Dog is the processor. The DPA governs that relationship.
8. Acceptable use
The Customer must comply with the Acceptable Use Policy. In short, you must not:
- use the Service for unlawful, misleading, harassing, defamatory, or spam purposes;
- use the Service to deliver emergency, health, financial, or safety advice that would otherwise be regulated;
- attempt to bypass technical controls, scrape, or reverse engineer the Service;
- use the Service to send marketing without complying with the Spam Act 2003, GDPR/ePrivacy, CAN-SPAM, and other applicable rules;
- advertise or instruct callers to dial a Mango Receptionist forwarding number directly;
- use the Service to process special category data (within the meaning of GDPR Article 9) without our prior written agreement;
- use the Service to impersonate another business or person;
- resell or sublicense the Service except as expressly permitted.
We may suspend or terminate any account that breaches the Acceptable Use Policy. Repeat or serious breaches may result in immediate termination without notice.
9. Telecommunications and forwarding
9.1 Customer's responsibility
You confirm that you have the right to forward calls placed to your business number to the Service. You are responsible for any carrier charges arising from your forwarding configuration.
9.2 Forwarding number
After Phone Activation, we assign a tenant-specific forwarding number as the forwarding destination. You must not publish it, advertise it, or instruct callers to dial it directly. We may change the assigned forwarding number on notice if required by our telephony provider, regulation, or carrier availability.
9.3 Customer communications
The Service may send SMS or email summaries and service messages according to the Customer's market, configuration, recipient details, consent status, and provider availability. The Customer is responsible for keeping registered destinations current. We may use a sender ID or shared number that complies with applicable carrier rules. Provider acceptance is not proof that a recipient received or read a message.
9.4 No emergency dispatch
The Service is not an emergency service. If a caller is in immediate danger, Aimee will direct them to call 000 (Australia) or the relevant local emergency number.
10. Bookings
The Customer chooses between request-capture mode and confirmed-booking mode.
- In request-capture mode, Aimee records the caller's details and preferred times for the Customer or its team to assess and confirm. No appointment is confirmed by the Service.
- In confirmed-booking mode, Aimee may offer and reserve a slot only after the Customer has configured authoritative availability and the Mango scheduler reports success. The scheduler may use multiple named appointment or capacity calendars, internal calendar blocks, travel and service constraints, pairwise calendar conflict rules, capacity limits, and selected external iCalendar feeds used as busy-time inputs. A customer-facing success is not returned if the required conflict-safe booking cannot be committed.
The Service may send booking confirmations, reminders, deposit requests, and signed self-service reschedule or cancellation links through an available channel. A deposit-dependent booking may remain pending until payment is verified and may be released after its configured hold window.
Ordinary Google or Microsoft account sign-in does not connect an external calendar. Mango's internal named calendars remain the booking source of truth. If a Customer supplies an iCalendar subscription URL, the Customer authorises Mango Dog to retrieve that feed for the selected busy-time purpose. The Customer may also subscribe an external calendar application to a Mango-generated read-only schedule feed. The Customer remains responsible for the accuracy of availability, capacity, service-area, duration, price, conflict-screening, safety, and other business rules it configures, and for independently checking any professional or regulatory gate that the Service identifies as requiring human review.
11. Affiliates and referrals
11.1 Customer referrals
A Customer may share a referral link generated in the Console. The link may preserve attribution, but it does not itself promise a free month, discount, account credit or benefit to either person. Any customer-referral promotion applies only when Mango Dog publishes separate promotion terms that identify the offer, eligibility period, qualifying payment, exclusions and delivery method. Affiliate attribution and commission are governed separately under §11.2.
11.2 Affiliate program
The affiliate program offers 50% commission on the first five (5) qualifying post-trial subscription-payment cycles Mango actually receives for an attributed paying Customer. Affiliate commission begins only after Phone Activation and Mango receiving a successful qualifying post-trial subscription payment. The US$5 Phone Activation charge, trial, and non-qualifying invoices do not earn commission. A refunded or disputed first-five cycle does not create another commissionable cycle; if Mango refunds, reverses, or loses a commissionable payment after commission has been paid, the matching commission becomes a debit that is offset against future commission until recovered; if the payment is reinstated, the matching open debit is cancelled after verification. 11.3 Attribution
A single Customer can be attributed to either a customer referral or an affiliate link, not both. If a published customer-referral promotion is active and a qualifying customer-referral link is present, that promotion's attribution terms govern precedence.
11.4 Fraud, self-referral, abuse
We may withhold or claw back referral and affiliate benefits in cases of fraud, self-referral, undisclosed paid promotion that breaches consumer law, or attempts to manipulate the program.
12. Suspension and termination
12.1 By you
You may close your account at any time. Closure takes effect at the end of the current paid period. After closure, Customer Data is handled as set out in the Privacy Policy §8.
12.2 By us
We may decline, defer, or limit an account, Phone Activation, integration, message channel, specialist desk, or other Service capability where we reasonably determine that the requested use is unsupported, unlawful, unsafe, deceptive, materially high-risk, technically infeasible, inconsistent with our provider or carrier requirements, or creates a material security, fraud, privacy, regulatory, payment, or reputational risk. We will not exercise this right on a prohibited discriminatory basis. Where lawful and reasonably safe, we will explain the affected capability and offer a reasonable path to remedy or a manual alternative; however, we are not required to activate a feature, number, channel, or use case that we cannot safely or lawfully support.
We may suspend or terminate your account immediately, or restrict the affected part of the Service, if:
- you breach these Terms, the Acceptable Use Policy, or the DPA;
- you fail to pay an invoice when due and the failure continues for 14 days;
- you put the Service or other users at risk (security, abuse, reputational harm);
- a regulator, court, law-enforcement authority, telecommunications provider, payment provider, AI provider, or other critical provider requires us to do so.
Where the issue can reasonably be fixed, we will try to give notice and an opportunity to remedy before terminating, but we may act immediately where needed to protect people, data, the Service, other customers, our providers, or our legal position.
If we cease to offer the Service generally for convenience, we will give at least 30 days' notice where practicable and refund any unused prepaid fees for the affected period.
12.3 Effect of termination
On termination:
- your access ends;
- Stripe charges already paid are not refunded except as required by law, under the 60-day booking-recovery guarantee, or where these Terms expressly provide a pro-rata refund for unused prepaid fees;
- Customer Data is returned or deleted in accordance with the DPA and the Privacy Policy.
13. Non-excludable consumer guarantees
13.1 Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy that you have under the Australian Consumer Law or any other law that cannot be excluded, restricted, or modified by contract. To the extent that these Terms refer to a limitation or exclusion of liability, that limitation or exclusion applies only to the extent permitted by law.
For non-consumer Customers (purchases not "of a kind ordinarily acquired for personal, domestic or household use"), our liability for breach of a non-excludable consumer guarantee is, at our option, limited to:
- the supply of the Service again; or
- the payment of the cost of having the Service supplied again.
13.2 Other jurisdictions — general savings
These Terms do not exclude, restrict, or modify any right, guarantee, warranty, or remedy that you have under the law of your country, state, province, or territory of residence or establishment and that cannot lawfully be excluded, restricted, or modified by agreement. Where any provision of these Terms would do so, that provision applies to you only to the extent the law permits, and is otherwise read down or severed to the minimum extent necessary. Without limiting this clause, it applies to rights under the New Zealand Consumer Guarantees Act 1993 and Fair Trading Act 1986, the consumer protection legislation of the Canadian provinces and territories, the United Kingdom Consumer Rights Act 2015, and United States federal and state consumer protection law.
13.3 No waiver of statutory privacy rights
Nothing in these Terms operates as a waiver, limitation, or assignment of any right you or any other individual has under applicable data protection or privacy law, and any provision purporting to do so is void to that extent.
13.4 Precedence
Where a term in Schedule A (Region-specific terms) conflicts with a term in the body of these Terms, the Schedule A term prevails for Customers in that region.
14. Warranties and disclaimers
Except for the consumer guarantees referred to in §13, the Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, conditions, and representations, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted operation.
In particular, we do not warrant that:
- AI outputs will be accurate, complete, or fit for any particular purpose;
- the Service will detect every emergency, urgent matter, or safety risk;
- calls or SMS messages will always be delivered;
- third-party integrations (Google, Microsoft, Stripe, Twilio) will operate without interruption.
15. Limitation of liability
To the maximum extent permitted by law:
- Indirect losses. Neither party is liable to the other for any indirect, incidental, special, consequential, exemplary, or punitive loss; lost profits; lost business opportunity; loss of goodwill; or loss of data.
- Aggregate cap. Our total aggregate liability arising out of or in connection with these Terms or the Service, in any 12-month period, is capped at the greater of USD 500 and the fees paid by the Customer to Mango Dog in the 12 months immediately preceding the event giving rise to the claim.
- No cap for certain matters. The cap above does not apply to:
- liability for death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- liability that cannot be limited or excluded under applicable law (including the ACL non-excludable guarantees);
- the Customer's payment obligations.
- Customer-controlled risks. We are not liable for loss to the extent caused by the Customer's script, Aimee Instructions, knowledge-base content, forwarding setup, caller notices, misuse of the Service, unlawful use, failure to keep account details current, or failure to correct information that the Customer knew or should reasonably have known was inaccurate.
16. Indemnity
The Customer agrees to indemnify Mango Dog from and against losses, damages, regulatory penalties, third-party claims, and reasonable legal costs to the extent caused by:
- the Customer's breach of these Terms, the Acceptable Use Policy, or applicable law;
- the Customer's use of the Service in a way that infringes a third party's intellectual property, privacy, or other rights;
- Customer Data, the Customer's script, instructions, knowledge-base content, or call configuration causing loss to a third party;
- the Customer's failure to obtain caller consent where required by law.
The Customer is not required to indemnify Mango Dog to the extent the claim was caused by Mango Dog's negligence, wilful misconduct, fraud, or breach of these Terms.
We will give prompt notice of any claim, allow the Customer to control the defence (subject to reasonable consultation), and provide reasonable cooperation.
17. Intellectual property
17.1 Our IP
Mango Dog owns the Service, the Mango Receptionist software and brand, the documentation, and all derivative works. Nothing in these Terms transfers any of our IP to you.
17.2 Customer feedback
If you give us feedback, suggestions, or ideas about the Service, we may use them without restriction or compensation.
17.3 Customer trade marks
We may identify the Customer as a user of the Service on our website and marketing materials, including the Customer's name and logo, unless the Customer notifies us in writing that we may not.
18. Confidentiality
Each party may receive non-public information of the other in connection with the Service. Each party will:
- use the other's confidential information only to perform under these Terms;
- protect it with at least the same care it uses for its own confidential information (and not less than a reasonable standard);
- disclose it only to staff and contractors who need it and who are bound by confidentiality obligations at least as strict as these.
Confidentiality obligations do not apply to information that is already public, independently developed, lawfully received from a third party without restriction, or required to be disclosed by law.
19. Force majeure
Neither party is liable for failure or delay caused by events beyond reasonable control, including acts of God, war, civil unrest, pandemic, fire, flood, internet outage, denial-of-service attack, action of a telecommunications carrier, AI-model-provider outage, government action, or failure of a sub-processor's facility.
20. Dispute resolution
20.1 Talk to us first
Before commencing legal proceedings, you agree to contact us at info@mangoreceptionist.com with the nature of the dispute and your desired resolution. We will respond within 14 days and use reasonable efforts to resolve the matter informally.
20.2 Mediation
If we cannot resolve the dispute within 30 days of the initial notice, either party may refer it to mediation administered by the Resolution Institute (or another mutually acceptable mediator) in Sydney, Australia.
20.3 Litigation
Nothing in this clause prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
20.4 Consumers and small claims
(a) §20.2 (mediation in Sydney) does not apply to a Customer who is a consumer under the law of their place of residence. Such a Customer may participate in mediation remotely, propose a mediator in their own jurisdiction, or decline mediation and proceed under §21.
(b) Nothing in §20 prevents either party from bringing an individual claim in a small claims court, tribunal, disputes tribunal, or equivalent low-value forum in the Customer's own jurisdiction, and §20.1 and §20.2 are not a precondition to doing so.
(c) Nothing in §20 limits a Customer's right to lodge a complaint with a regulator, ombudsman, or consumer protection authority at any time.
21. Governing law and jurisdiction
21.1 General rule
These Terms are governed by the laws of New South Wales, Australia. Subject to §21.2 and §21.3, the parties submit to the exclusive jurisdiction of the courts of New South Wales and the federal courts of Australia sitting in New South Wales.
21.2 Consumers
If you are a consumer under the law of your country, state, province, or territory of habitual residence:
- §21.1 does not deprive you of the protection of any mandatory rule of the law of that place that would apply in the absence of a choice of law;
- you may bring proceedings against us in the courts of that place, in addition to the courts identified in §21.1; and
- we will bring proceedings against you only in the courts of that place.
21.3 Region-specific provisions
Schedule A contains governing law and forum provisions for specific regions. Where a Schedule A provision applies to you, it prevails over §21.1 to the extent of any inconsistency.
21.4 No effect on regulators
Nothing in this clause limits the jurisdiction of any regulator or the operation of any law that applies to us or to you regardless of the parties' choice.
22. Changes to these Terms
We may amend these Terms from time to time. Material changes will be notified at least 30 days before they take effect by email to the registered contact and a banner in the client console. Non-material changes (typos, clarifications, contact updates, or changes that do not reduce your rights or increase your obligations) may be made without notice. Continuing to use the Service after the effective date of an amendment constitutes acceptance. If you do not accept a material change, you may close your account before the change takes effect in accordance with §12.1. Material changes will not apply retrospectively to disputes that arose before the effective date.
Prior published versions of these Terms remain available on request.
23. Notices
Notices to Mango Dog must be sent to legal@mangoreceptionist.com. Notices to the Customer will be sent to the email address on file.
24. Assignment
The Customer may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets, on notice.
25. Independent contractors
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
26. Severability
If any provision of these Terms is held to be invalid or unenforceable, that provision will be severed and the remainder will continue in force.
27. Entire agreement
These Terms, together with the Privacy Policy, the Acceptable Use Policy, the DPA (where applicable), the affiliate program terms, and any Order, constitute the entire agreement between the parties on the subject matter and supersede all prior agreements.
